There are two ways to answer this question. You can register your business with the state, or you can register your business name or logo with a trademark. In the video I explain both because the posted question is somewhat ambiguous. If you are wondering whether you should register your business name to get limited liability protection, then you aren't required to register your business name by law, but to register your business name with the Secretary of State office of your state is a good-practice thing to do. Contact Aiden and learn more at www.180lawco.com. Someone asked me recently when is the best time to trademark your business name or logo. The simple answer: As soon as possible! Really, in general, the sooner the better for filing a trademark for your business name or logo. I discussed in a previous video that you have some trademark rights under common law even if you never register it with the U.S. Patent and Trademark Office (USPTO). But, having a registered trademark is infinitely better and it makes your trademark rights a lot stronger. So, even though you might have a common law trademark in something, its always better to actually register the trademark if you can. To register a trademark, you do have to be actively using whatever the trademark is in commerce. So, if your business is already established, i.e., you have a website or marketing materials using your business name or logo that you are trying to trademark, then you are actively using it in commerce and that will work in your favor when you try to get it registered. If you’re not quite there yet, for example, maybe all you have so far is a great logo, you can still file an application for the trademark. However it is an “intent to use” application… and it is exactly what it sounds like. It means that you are intending to use whatever the trademark is. So, that will buy you some time in being able to actively use that trademark in commerce, but still getting that protection if your trademark is ultimately registered. So, even if your business is not actively started yet, you can, in most cases, still file that intent to use application to get a head start on that trademark registration. So, simply put, the sooner you can file a trademark application, the better off you are. It basically gets you first in line in priority of using that trademark, assuming no one else has already used it. And if you are still getting your business started, you can file that intent to use application in order to get a little extra time for you to start using it actively in commerce. As an example, you do not want to launch a new car under the name of PMW – it would be too similar to BMW. I have a link to a detailed video in the shownotes how to conduct a search for earlier similar trademarks. Once you made sure that there are no conflicting earlier trademarks or company names, then you can actually file your trademark application with the intellectual property office of your country or region. Many trademark offices nowadays offer to file trademarks using a simple web form. You can navigate there and then enter the information that we compiled above. Once submitted, you can a receipt and the office will then start examining your trademark application. The trademark gets registered, if the office did not find any formal errors or did not object to the trademark application for other reasons such as descriptiveness of the mark. Once your trademark is registered, you can use the trademark e.g. to tell other competitors not to use identical or very similar names for the protected services. Or you can issue licenses to your trademark for other dance studio owners and make money that way. I hope I was able to show you how to protect a name or business name. What The Heck is an S Corporation?: https://youtu.be/i5to7Da3wMw Top 10 Things Every LLC Needs: https://youtu.be/T826TLGEK9w The three most common types of structures for a small business are the sole proprietor, LLC, and corporation. These are by no means the only options for business structure; there are many more options out there (e.g., general partnerships, limited partnerships, limited liability partnerships, cooperatives, non-profit corporations, etc.). If you are operating as a sole proprietor, this means that you have not really formed any legal structure of a business entity. If you are just an individual making income from providing services or selling products and you have not registered anything with your state, then you are already operating as a sole proprietor. If you are operating under a trade name (e.g., if I am operating a lawn mowing service under the name “Aiden’s Lawn Mowing Service,” that would be the trade name), then you should file a Statement of Trade Name with the Secretary of State in order to register the fact that you are operating under that trade name. However, just because you file your trade name does not mean that you are an LLC or any kind of entity; you are still just a sole proprietor. The LLC is the most popular entity formation and that is because (in Colorado, at least) an LLC is inexpensive and relatively simple to start and run. To form an LLC, all you have to do is file Articles of Organization with the Secretary of State (or whatever agency operates business organizations in your state) and boom! you've got yourself an LLC. Of course, there are other things you need to do to make sure your LLC is going to protect you personally and to avoid piercing the corporate veil. Similar to a sole proprietor, all of the income to the business is taxed as if it were personal income to the business owner. Finally, the biggest difference between an LLC and sole proprietor is that an LLC does give you that liability protection. So, if there is a lawsuit, or if the LLC is subject to some liability, then you as the business owner should be personally protected and your personal assets would most likely be safe from those liabilities. When I say "corporation" in this context, I am referring to a C-Corporation specifically. (I'm going to touch on the S-Corporation in just a minute.) The corporation is a little bit more complicated and expensive to set up, but there are some instances where it would be useful to have a corporation. First, it’s important to know that there are three groups of players in a corporation: Shareholders, Board of Directors, and Officers. Shareholders are basically the owners; they own shares of the corporation. The Board of Directors is responsible for making decisions about the operation of the corporation. And the Officers are generally those that are actually participating in the business and managing the business and all of its activities. Despite these various players, a small business can still form as a corporation and the Shareholder, Board of Directors, and Officers can all be one person. In other words, one person can hold multiple positions within the corporation. To create a corporation, you will need to file Articles of Incorporation with the Secretary of State. You will also need to write Bylaws, which are essentially the same as an Operating Agreement. The Bylaws say how the corporation is going to be run and managed and operated. If there are going to be multiple shareholders, then you will probably also want to have a Shareholder Agreement. One of the biggest drawbacks of a corporation is that corporations are subject to double taxation. When money comes into the business it is taxed at the corporate rate as income to the corporation, then when money is distributed to the shareholders, it is taxed again as dividends to the shareholders. Finally, just like an LLC, the corporation provides liability protection to the Shareholders, the Board of Directors, and the Officers in most instances. Checking the #company #name #availability is a major challenge for any entrepreneur. We thought we could make things easier. Company names have two components - a unique component and a descriptive component. The unique component of your company name should be coined by you. Ideally, a combination of the names of the founders. For instance, if one founders' name is Ravi and the other founders' name is Shastri, you could coin a word "RASTRI". Such a name has an excellent chance of being approved. The descriptive component should describe what the #business does. Choosing The Right Name Choose the name of your legal entity carefully. It is important for the chosen name to portray the image you want for your new company. Legally, the name you select must not be "deceptively similar" to any existing company, or must be "distinguishable on the record" of your state. For example, if a company named "Glow LLC" exists in your state, you probably would not be allowed to name your business "Glove LLC". Sometimes the name you select will not be available. This is the reason we ask our clients to submit a second and a third choice of company name when forming a new entity. Additionally, most states require you to add the words "Limited Liability Company," or the abbreviation "LLC" to the end of the name (for LLCs), or "Inc." , "Corp." or "Incorporate", "Corporation", etc. for corporations. Sticking To Your Name Once you choose the name (including the appendix, also called entity identifier) you should stick with it. For example, if your company name is "MyCompany Inc." then all your official letterheads, correspondence, domain names, business cards, and any other company related documents and sales collateral would have to include the use of "MyCompany Inc." as opposed to "MyCompany Corp" and such. Reserving Your Business Name If you are not ready to form your company, but want to protect the name you want to do business under, you can reserve that name with the Secretary of State in which you plan to form your business entity. The process of company name reservation is simple and very much similar to the process of forming the actual entity. Keep in mind that name reservations are often limited to a specific period of time, so you might need to renew the reservation or risk loosing the name you have reserved. What if My Business Needs to Operate Under Several Names? Your business entity can only have one name, however you can file as many assumed names (also called trade name, fictitious name, "Doing Business As", DBA, or d.b.a.) as you like, as long as they are available in the state or county where you plan to use them. Creating DBA is the easiest and most cost effective way to do business under a new business name without having to create an entirely new business entity. VIDEO TRANSCRIPT: Option one is default - most people buy a property into their own name. Very simple, it's in your name. The problem is if you run in to trouble you could lose your home. If you pass away, property is caught up in your frozen estate. Your spouse, your dependents, other persons, children, don't have access to this asset until such time as your estate is wound up. That could take anything from about eight, nine months to one, two, three, four, five years. You're going to be creating serious hardship for whoever's going to be needing to access that property or the rentals, or whatever the case is. It's a pretty expensive exercise to die, so try and avoid it at all costs, but your death will cost you capital gains tax. The maximum rate at this point is 13.6%. It's a fairly huge chunk that's going to be coming out of any growth of the property, so one must bear that in mind if the property's in your name, on your demise. On top of that, your estate - not you - will be subjected to executors fees also at a maximum legislated rate of 3.5% plus VAT, just under 4%. Again, a massive chunk. And the kicker here is for you to consider that this is a charge on the gross value, not on the net value. Suddenly, that's a massive cost on a small percentage. This seems pretty harmless. Other options are closed corporation, or Pty Limited. A lot of people do consider this as an option because it is a known type of entity. SARS pretty much has settled the taxation around this, so there's some level of comfort. The problem with this is a closed corporation or company is not the ideal residential property owning entity because you will eventually pay too much tax as well compared to a Trust. Pty CC, your tax rate is 28% to get the cash out of the company, or the CC you'll be paying a further dividends tax, bringing you effectively to a tax rate of 38.8%. Also, a default position is you can have a Trust owning a company that, in turn, owns your property. You are creating extra costs which you can possibly avoid by having a more simplified structure. Not a great structure - a CC or Pty - if you are ever selling a property because you're going to end up with a huge capital gains tax problem in the company of the CC at an effective rate of 18.6%. To get your hands on the profits after tax, costs you a further dividends tax of 15%, bringing your total tax bill to just under 31%, so that's ouch. In your personal name, the tax is a little bit better, but you have exposure to creditors, you have got issues on death, you have no continuity. CC Pty is solving some of the problems, but not ideal from a tax perspective. Then, we come to the mythical Trust. Default position though is it's an old entity, it's been around forever, in this country almost 200 years. A Trust very simply is like a vault. You're going to acquire your property into this entity. The tax is brilliant in this structure because you can move the income out of a Trust. Even though it is an entity with the highest tax rate at 41% after the new budget a couple of weeks ago, the Trustees have got the election to push any rental income down to beneficiaries, who then pay at their own marginal rates. Also, capital gains tax wise, if you distribute your gain to a beneficiary, it's going to be quite tax effective.

"If someone else is already using a word/phrase in the name of their business or product, and I really like it, am I allowed to use it in my business too?" In many cases, yes. If they haven't trademarked it, you can use it. If it's a friend or colleague, it would be good to talk with them about it first, of course. How do you know if someone has trademarked a word or phrase? ® and ™ are different. The ® symbol means it's officially registered with the US government as a trademark. The business has gone through the legal paperwork and paid the fees for an official registered mark. If you use that same word/phrase for your business it would be illegal. However, ™ is only an intention. Anyone can put ™ next to any word/phrase without having to file any legal paperwork. ™ means "I'm thinking about trademarking this word/phrase... so you might want to use another word/phrase, because if I officially trademark this word/phrase in the future, you might be wasting all of your brand-building effort on this word/phrase, because it'll be legally mine at that point." From what I've seen, however, many people who use the ™ symbol never go through with officially registering their trademark... In other words, if you really like a name/phrase some business is already using, even with a ™ symbol you can still use it temporarily for your own business. Just be flexible about changing it in the future. My example: years ago someone suggested that what I do is help people with their “true livelihood”. I liked that term a lot, and started using it. Later, when I tried getting the domain name, I discovered someone else had been using that term for years, but never officially trademarked it. So I’ve been using it just fine for the last 4 years, and it’s been no problem at all. This has been true with several phrases I’ve used, such as Authentic Marketing. If you want to use a term, just google it. Make sure there’s no ® symbol. NOTE: I'm not a lawyer so if you're making a serious decision about your business, don't depend on this video or piece of advice as the end-all-be-all. Get your own legal counsel if needed.

Nicknames (ex. "Johnny Football") 4. Your business name These are just a few of the common examples. At any rate, this video should help you understand what lawyers do when filing a trademark. This is the same process companies like LegalZoom do. So in short YOU CAN DO IT without a lawyer if you take time to read the screens, and watch some of their helpful videos the USPTO offers. If you’re serious about taking the right steps in the beginning, one of the first things you’ll want to get squared away is the legal formation of your business entity. Most real estate investors (myself included) own their properties under the name of an LLC (aka – Limited Liability Company) and there are a few reasons why: - An LLC can protect your personal assets from business-related lawsuits. - An LLC has tax advantages that allow for “pass-through taxation” (whereas most other corporations are double-taxed). - An LLC offers instant credibility with many of your customers. Now let me be clear... I'm not trying to advise you on what type of legal entity you should form for your business. I'm not an attorney or an accountant (and even if I was - I have no idea what your goals and business objectives are). I'm not saying that you should copy what I'm doing in the instructions above, I'm just showing you one of the many ways it can be done. Forming your own corporation may sound like a complicated legal process, but it's actually quite simple and you can do it in a matter of minutes. With an online service like MyCorporation (see above), you can avoid the mind-numbing minutiae of trying to figure out the process in your state AND save yourself hundreds of dollars by allowing them to walk you through the process. An alternative option is to hire an attorney, since they can give you the best advice and make sure everything is being fine-tuned to fit your situation, but if you're on a shoestring budget (like I was in the beginning), a service like MyCorporation is probably your next best option. Very often the only hurdle that gets in the way is jargon; ‘company-speak’ that formation agents, accountants and Companies House (the UK’s registrar of companies - we’re busting jargon already!) continually drop onto websites and into conversations. In this, our latest StartUp TV, we look at exactly how simple it is is to form a UK company limited by shares … don’t worry, we explain what that means too! A private company limited by shares is a very popular company structure. This is for two main reasons: Tax Benefits Limited Liability - this means, if it all goes wrong, the owners do not have to pay out of their own pockets, their liability is limited to the amount of shares they own, hence company limited by shares Unique Company Name The Company Formation MadeSimple http://www.companiesmadesimple.com/ homepage has a ‘company name availability’ search box. Simply enter your proposed company name and we’ll immediately let you know if your name is available. The company name must be unique, can not be too similar to another company and should also not contain any ‘sensitive words or expressions’. These are a collection of words that Companies House will not allow you to use without permission from a particular body. For example, you can’t use the word ‘Dental’ in a company name without permission from The General Dental Council. See here for a full list of these sensitive words and expressions. Please note, your company name must end in Limited or Ltd (you can choose which version you prefer). Company Formation Packages The next step is to select your package. We offer five different packages: Basic (£16.99 plus VAT) Printed (£29.99 plus VAT) Privacy (£49.99 plus VAT) Comprehensive (£89.99 plus VAT) Ultimate (£159.99 plus VAT) It’s worth mentioning that the above prices all include the £13 Companies House filing fee - it’s for this reason that when you add VAT to the prices, the figure appears to not quite match up. This is simply because we’re removing the £13 fee before adding the VAT. The Registered Office Now the first step in the actual company formation process is to add a registered office address. This is the official address for the company and where Companies House and Her Majesty's Revenue and Customs (HMRC) will send all company documentation. Important information about the registered office: It is on the public register (and so easy for anyone to find) It must be in the UK Directors (more on these in the next step) must be ‘contactable’ from the address - this means if mail is sent to the address, it must be forwarded on Permission from the property owner should be granted before using an address as the registered office, so whilst it’s fine to use a residential address (we point you back to the public register note), you must have permission from the landlord Directors Now you need to appoint at least one director. Directors are tasked with the running of the company. It is going to be something that when you see it, you automatically think of that company or brand. o Trademarks are an essential part of your business. They represent your goodwill, your reputation, and they’re how people can tell the difference between the products and services that your business offers and what other businesses offer o When you have something like this you want to register that with the USPTO so that you can keep other ppl from using the same or similar marks. www.uspto.gov o The most important thing to think about as a with trademarks is that when you’re choosing the name for your business, or your products or services, you must check to make sure that no one else has already used the name. The reason for that is that in the United States, our trademark law is based on actual use. You get rights to use a trademark or you get rights to keep other people from using the trademark by using it in your own business FIRST before anyone else. Do YOUR RESEARCH before you settle on a business or brand name! Search google extensively, do a domain name search search your state's registration website and then finally search the USPTO trademark registration website. Hire an attorney to file the application for you because it is pretty hard to get approved filling it out on your own. Remember, you will have to pay a filing fee of about $225 for each product or service you want connected to your trademark, and you cannot get your money back if your application is denied. Use the TM next to your logo/name before you register to put people on notice that you are asserting your rights in that trademark. Use the ® symbol once you have registered and received approval by the USPTO. Finally, protect your right to publicity!
