All Up In Yo' Business: LLC or Liability Insurance
This video is in response to another great question I received from one of my viewers: If I am a sole-proprietor and have a $250,000 liability insurance policy, do I still need to form my business as an LLC? Or in other words, what's the best route to protect my personal liability? An LLC or liability insurance? Now, if you are a lawyer or have ever gone to law school, you will hopefully appreciate this answer. If not, then I am sorry that you can’t be in on the inside joke. But the answer to that question really is: “It Depends.” It depends on a few factors, including the industry that you are going into and whether or not there is a lot of risk of lawsuits and liability within that industry. It also depends on your tolerance for risk. If you are willing to take a higher risk and save a little bit of money and administrative work, then it might be worth it to go one way or the other. One of the primary purposes of forming a business as an LLC is to give yourself that liability protection, so if there is any liability to the business, you as a person and as an individual are protected from that liability. So, let’s pretend that you are operating as a sole proprietor and you haven’t formed an LLC, but you have this $250,000 liability insurance policy. If you do something in the course of your business that opens you up to liability and somebody sues you, then that insurance policy is hopefully going to cover any of your liability. But, if you do something really bad and you are liable for over $250,000 worth of damages, then you will kind of be screwed since your insurance policy is only going to cover you for up to that amount. In this instance, you will be personally liable for anything on top of that amount. If, on the other hand, you formed an LLC, then it will hopefully be only the assets of the business that are at risk for that liability your personal assets will most likely be protected. So unfortunately, I can’t give a definite answer to this question since it depends on multiple factors and on your own tolerance for risk. If the likelihood of you being involved in any type of lawsuit due to your business industry is low (ie., if it’s just not very common businesses in your industry to be involved in any lawsuits), then it might be worth it to just save the money and get that insurance policy and not deal with the hassle of forming and maintaining an LLC. But, if you really want to cover your a**, then the best thing to do is to form that LLC and get that insurance policy. What is General Liability Insurance?
General Liability Insurance is something small businesses may need. Often it is requested by a customer (or the company hiring you as a contractor). General liability insurance is designed to cover any loss (damage) that may result from an accident caused by you while you are working in someone else's place of business. Proof of General Liability insurance is conveyed on an "Acord" form. This is a form that they insurance company will make. This is not a form that you get to fill-out. Your customer will want to be listed as a "Certificate Holder". And, they might also ask to be an "Additional Insured". Each Acord form is made individually for each requesting customer (your customer). The insurance premiums will vary widely depending on the type of business. The greater the risk, then the higher the premium. Business General liability insurance is NOT the same as Errors and Omissions insurance. People sometimes get these confused but they are very different things.

Today I am going to talk a little bit about general liability insurance, what exactly it is, and how much you need as a business owner. Having general liability insurance is the absolute basis of any insurance. I would say that if you could only afford to have one insurance, I think for most businesses general liability would be the insurance they would get. It is the absolute foundation to having your business insurance in place. Essentially, general liability insurance is the protection you have in the event you're responsible, or your business is responsible for causing damage to a person or to property. And this can happen in a number of different ways. One of the most common is with a vehicle accident. Let's say your company trucks gets into an accident. You hit somebody and damage their car, and let's say they get injured. If they file a lawsuit against you, that's covered under your general liability insurance. Along the same lines, let's say you are manufacturing a product of some kind. Let's say for instance that you are a pistachio distributor. If you distribute pistachios and the people that eat them end up getting sick, let's say you get sued in a class action lawsuit for your product hurting somebody. That also falls under your general liability insurance. So as you can see, it can cover a few different scenarios that can be extremely important in protecting your business in the event that a lawsuit like this occurs. Now when it comes to how much general liability insurance you need, there are a couple of things that dictate exactly how much coverage you want to get. For most people, especially when you are first starting out in business, usually this is going to be dictated by your landlord or the vendors that you do business with. When you move into a new place, whether it be an office or retail store or warehouse, generally speaking, your landlord is going to ask for at least one million dollars per occurrence, and two million dollars aggregate just to get started. And what those limits mean is that any single lawsuit or claim that you file, you're going to have one million dollars in coverage for that single occurrence that happens. If you are unlucky enough to have two occurrences in a single year or more, the policy is going to cap out at the aggregate. Another key thing you want to look at in regards to how much insurance you get, is how much your vendors want you to have. Let's say you are a clothing distributor, if you do business with big clothing stores like Nordstrom's for instance, they might require you to four or five million dollars in general liability insurance because they want to make sure that they are protected in the event that something wrong happens with your product. So even if you are a small business, and let's say you don't have a whole lot of assets, you may have to get a lot of coverage just to make the people you do business with satisfied with the type of insurance you have. Now also, in regards to figuring out how much general liability insurance you should have, certainly the limit on your insurance should grow as your business grows. Liability insurance is a part of the general insurance system of risk financing to protect the purchaser (the "insured") from the risks of liabilities imposed by lawsuits and similar claims. It protects the insured in the event he or she is sued for claims that come within the coverage of the insurance policy. Originally, individual companies that faced a common peril, formed a group and created a self-help fund out of which to pay compensation should any member incur loss (in other words, a mutual insurance arrangement). The modern system relies on dedicated carriers, usually for-profit, to offer protection against specified perils in consideration of a premium. Liability insurance is designed to offer specific protection against third party insurance claims, i.e., payment is not typically made to the insured, but rather to someone suffering loss who is not a party to the insurance contract. In general, damage caused intentionally as well as contractual liability are not covered under liability insurance policies. When a claim is made, the insurance carrier has the duty (and right) to defend the insured. The legal costs of a defence normally do not affect policy limits unless the policy expressly states otherwise; this default rule is useful because defence costs tend to soar when cases go to trial. In many cases, the defense portion of the policy is actually more valuable than the insurance, as in complicated cases, the cost of defending the case might be more than the amount being claimed, especially in so-called "nuisance" cases where there is no liability but the case has to be defended anyway. Commercial liability is an important segment for the insurance industry. With premium income of USD 160 billion in 2013, it accounted for 10% of global non-life premiums of USD 1 550 billion, or 23% of the global commercial lines premiums. Liability insurance is far more prevalent in the advanced than emerging markets. The advanced markets accounted for 93% of global liability premiums in 2013, while their share of global non-life premiums was 79%. The US is by far the largest market, with 51% of the global liability premiums written in 2013. This is due to the size of the US economy and high penetration of liability insurance (0.5% of GDP). In 2013, US businesses spent USD 84 billion on commercial liability covers, of which USD 50 billion was on general liability, including USD 12 billion for Errors and Omissions (E&O) and USD 5.4 billion for Directors and Officers (D&O). US businesses spent another USD 13 billion on the liability portion of commercial multi-peril policies, USD 9.5 billion for medical malpractice and USD 3 billion for product liability covers. The UK is the world’s second largest market for liability insurance, with USD 9.9 billion of liability premiums in 2013. The largest sub-line of business is public and product liability. This is followed by professional indemnity and employers’ liability (cover for employment-related accidents and illnesses). There has been a significant shift in the sub-segments of UK liability insurance. In the last decade, the share of professional indemnity has increased from about 14% to 32%, highlighting the shift towards a more services-driven economy. Manufacturing, meanwhile, comprises a lower share of liability claims as accidents related to injuries and property damages have declined.

The most important way to do that is talk to our industry professionals so that they can walk you through all the nuances of the covers for your type of industry, which is really important. But, we also want to be able to provide you information that you can access during your free time, because we know what you want to be doing. What I want to be doing is takng time to run our business, and the last thing I want to do is be thinking about insurance. So, we're gonna go through a series of questions, we're gonna call these "quick customer questions." And we're gonna put them in a library so you can access it, so you can go back and review it at your leisure. The first question comes from Mary, who runs a retailer in Illinois. And Mary asks, "Is General Liability Insurance the only coverage I need to run my small business?" And the answer, Mary, is no. General liability is really important particularly for your type of business. What it does is it covers third party losses, meaning claims that customers may have, if a customer comes into the store and slips and falls, and turns around and you've got to cover the cost of the ambulance, and then they sure you for the medical charges related to that. General liability will cover that. It also covers third party claims related to delivery men, if they slip or fall, or suppliers -- people that are not your employees, not yourself, that get hurt or cause property damage inside your store. It will cover that type of insurance risks. But what it won't do is it won't cover several things that are really important. First, it won't cover the property damage just generally inside your store. It won't cover professional advice or cyber liability. So, let's say somebody comes in and hacks the information that you have related to your clients -- general liability will not cover that. It also won't cover the cost of anything that happens to your employees, which is covered by a policy called a Workers' Comp policy that we've talked about in many forms. So general liability. Very important, but it will not cover everything that you need for your store. And it's really important to walk through the following checklist. What we like to do is understand your vertical, so everybody talks to an industry expert that just does your type of business: so, you'd be talking to our hospitality desk that does all restaurants and retailers. And then we walk through what's covered from a property perspective, a general liability perspective, a professional liability perspective, covering your employees, and walk through cyber risk, as well as Business Interruption risk. The good news for you, Mary, is that a lot of those risks are covered inside the base Business Owner's Policy -- a BOP. That'll cover your property and also cover your general liability. And if we have the right endorsement, it'll cover also the Business Interruption covers as well. So, general liability -- important, but clearly not the only thing you should need for your store.

He expects you to repair the roof, the drywall, wallpaper, carpets and, of course, replace the grand piano.... A claims made policy will not allow you file a claim 4 years later unless you stayed with that same company the whole time. If you intend to change companies after you have had a claims made policy, you must make a decision. If you want to have protection for any claims that have not occurred yet, but will in the future, you will have to purchase "tail" coverage. This coverage will extend the time in which you can file a claim. And tail coverage is not cheap. If you decide not to buy the "tail" you will not be able to report a claim against the claims made policy. And to make matters worse, some companies do not offer the 10 year extension. So....
