Hey Youtube, On today's episode of Mentorship Monday we're going to discuss how to set up an LLC with Investment Partners. Today's question comes from Ahmed. He want's to know how to set up and structure LLC's for partnering with other investors. At the moment Ahmed already has some deals going, he also has an LLC set up that mainly family operated. For most investors that are just getting started, you see family partners as a common theme. As mentioned before, he already has an LLC that he bought into for a 20% share. Currently he's the operator of the LLC which means that he's the front man handling the back and forth interactions with day to day business. Now Ahmed is looking to scale up and begin to do bigger deals with properties in the $300,000 - $500,000 range. So here's the deal, great move by buying into the company and positioning yourself to have skin in the game. It's great that you want to be an investor and "Doer" but don't discount the value of your work. As typically there is one person who deals with the day in and day out. You should be compensated for your "sweat equity". As far as the structure is concerned you can have an LLC or LLP with members and mangers. There are many people who can say that people are going to go to the big companies. If you don’t know why people should choose you instead of another one, then you should not be in that space at all. Pain is always greater than pleasure. We are being attracted to returns and making money, but in reality we make that decision based on the fact that we don’t want to lose money. We want to avoid the pain of losing money. Your goal has to be to keep the risk and the losses as low as possible. That is a huge advantage and unique selling point. A good marketing strategy is to have a direct contact with the manager. You want to be very calm and keep focusing on your process. You should not be influenced by doubts and emotions. You need to have a team and to be able to communicate in a very professional way. You need to have a clear agreement signed in the beginning. You have to set everything up before the contract begins. Otherwise, it is going to be a huge mess. There has to be a very honest and transparent communication with the client. Both sides must know what the scenario is going to be if something goes wrong. You need to have a proper structure inside your company to stop trading. Negotiations and agreements are really important in this field. This is a crucial factor to achieve success in this space. You are going to get a lot of complaints. It is a part of the game and you have to accept it and deal with that in the best possible way. There is a possibility that if something goes wrong, people will want to exit at the wrong moment and even want their money back. That is why it is essential to be confident in yourself and to be able to persuade your clients that you are doing what it takes to make a positive ROI. The more you are able to convince the investors, the more they will trust in your strategy and that you can deliver results by not putting too much risk. You need to be able to make your clients believe that collaborating with you is the right thing. Marco has an online funnel to get new clients. An essential part of his funnel is an online platform that shows his skills and expertise. The platform combined with a simple social media strategy is a key factor that helps Marco to build his business successfully. A good way is to have single investors to contact you directly. However, Marco wants to connect with people who are introducing investors. Most of the time if you have a very solid profile, you are going to be contacted by them. After that you can get them on a call, proceed with the sales process and close the sale. The main objection that Marco faces is that clients do not believe that his results are real. It’s normal for them to be suspicious and you should not be too arrogant and close the doors to them to take advantage of your service.

On this week’s update, Rob Cittadini, regional director, consultant relations, interviews Investment Strategist Paul Eitelman to dig into potential investment opportunities created by the U.S. presidential election. U.S. jobs, inflation, and Fed rate hikes Eitelman begins with an update on October U.S. jobs numbers, as the number for non-farm payroll jobs hit 161,000. This is below the 200,000 numbers the U.S. has been hitting recently, but Eitelman believes this is still strong enough to gradually reduce unemployment. And wage inflation came out at 2.8% year over year—the highest that number has been since May of 2009. Based on comments made at this week’s Fed meeting, Eitelman believes those numbers are strong enough to make a December interest rate hike even more certain. Earnings in Europe and the U.S. Eitelman mentioned that third-quarter 2016 earnings have been mostly positive in the U.S. market. With 75% of companies having reported, the cumulative earnings number is in the 2-3% positive range. In Europe, the numbers are significantly stronger, with some signs of double-digit growth, along with some improvement in profit margins. Eitelman believes this differentiator shows a significant contrast between the two markets. U.S. elections and potential opportunities With polls tightening between candidates Hillary Clinton and Donald Trump, Eitelman said uncertainty about the outcome of U.S. presidential elections have made markets a little jittery. That said, Russell Investments’ strategists believe that market fundamentals, both in the U.S. and globally, still look strong. Eitelman also mentioned that the president’s ability to impact markets is often less than people think. That combination—short-term market jitters and solid fundamentals—could create significant investment opportunities for savvy investors. If an unexpected election outcome causes a short-term dip, the opportunities created there may be worth a closer look. Easily over 90%+ of these properties are bought and sold by groups, companies, retirement funds etc. So imagine you're looking at a $10 million building which needs a $3m down payment. Let's say you have a good $1 million of equity to buy the property, but that's not enough...How do you go about getting the rest of the funds without selling everything else that you own? Well first off, we know you can't go to the bank and get a loan for both the $2 million difference on the down payment AND the $7 million loan to buy the building. Also, your friends and family don't have the money for you to borrow. Instead, your real estate broker mentions to you that they know of a few individuals that look for properties just like this, but they don't have enough money to buy the place on their own either. At this point, the best chance that you and the other individuals could have in buying this building is by forming a syndication. Syndication is when two or more individuals pool their money together to buy one or more properties. They usually do this by forming an s-corp or c-corp, but most commonly they form an LLC, which I defend in my "LLC vs. TIC" video. Once everyone has their money ready, an attorney will draft a "Private Placement Memorandum", or PPM. This is basically a document that says that no one is draining their bank account, they understand the risks involved and so forth. Once this investment group is formed, the percentage you own is usually equal to the amount of money you put in. For example, let's say you put in that same $1M, and four other people put in $500,000 each, totaling $3M. Unless otherwise agreed to in writing, you would own 33.3% - or one third, - and everyone else would own slightly more than 16.6% which is 1/6th. If this $10 million building generates $1 million net cash flow every year, you would get 1/3 of the proceeds, and everyone else receives their 1/6 share. The biggest problem with forming a syndication group is when the "what-if's" start happening. "What-If" the property triples in value in a few years? "What-If" the biggest anchor tenant goes dark, and leaves the building? Who's going to put more money into the group to cover the losses until you find another anchor tenant? "What-If" one person wants out of the syndication group for personal reasons? Who's going to be allowed to buy them out? These are just some of the "What-Ifs" that could happen. This is the reason why you have an attorney draft a general outline of the project goals, called a "Prospectus". It identifies what type of property you plan on attaining along with many of the common "What-If" scenarios and solutions outlined beforehand. That way everything is agreed to in writing upfront, so disputes are minimized later on. Most of the time this includes the sale of the property as well in a few years. Once the group has the PPM stating that people are not risking their entire life savings and the general goals are outlined, the broker will go out shopping. Once there's a property that has been identified, who makes the decisions to make an offer? Beforehand there will be usually one person along with the broker to make most of the decisions. Again the reason for this is to streamline everything so there aren't 5 different opinions when everyone wants the same ultimate goal. The property is then purchased, everyone's money is pooled together and the returns to each investor are divided as specified as the months and years continue on. The great thing about syndication is that you don't have to put ALL of your own money into one SINGLE property -- you can spread it out to minimize your risk. It's the same concept as to why people don't put ALL of their 401k or investment money into ONE single stock -- they put it into MULTIPLE stocks. So along with spreading your risk our so it's not all in one project, you're also able to buy some of the sizable stable real estate properties most individual investors could never afford. Or you could be involved in some larger stable deals along with some more profitable yet riskier deals as discussed in my "Value Add Properties" video. It simply depends on your appetite for return vs. possible risk...Now that's good to know.

Well after a dramatic December the stock markets around the world came roaring back in January and ended up big. Although the comeback was impressive they still have not been able to get back to November levels (international markets did actually but they were already trailing US markets substantially). My portfolio actually bounced back almost in lockstep but the markets beat me by a bit. I actually expected to underperform much worse than I did due to a fairly large allocation (and growing to bonds at the moment). Since I’ve been tracking all this my cumulative returns are beating the stock markets. It is never easy to beat the market so I’ll take it when I can get it. It is only 15 months though...so time will tell if I can keep up the superior performance! My goal is to beat the stock market over time. Why stocks? Because stocks have been an asset class that over long periods of time provide high real returns (inflation adjusted returns). I measure myself against the US stock market (S&P 500) and the world wide stock market (VT a world wide ETF). So how is it going? Transactions This Month JUST SAY NO TO THE TAX MAN! Fully funded all the tax advantaged accounts for 2019! My favorite thing to do and time of year is when I can take large chunks of money and put them in an account where the tax man cannot get them at all! Since taxes are one of the largest considerations in investing it makes my investing strategy so much easier since I don’t even have to think about it in these accounts. If I want to make a transaction I can and do without worrying about how much the tax man gets. I want to reassess each and decide if I still want to own it going forward. -- Further Research On Commodities vs. Stocks - I continue to think stocks are overvalued and commodities are undervalued. Less so now...but they are still overvalued in my opinion. I want to come up with some ongoing metrics that I can use to track and monitor this (to be able to reallocate accordingly). -- Rescreen / Find New Stocks To Invest In (Versus Bonds) - I don’t want to have any bond holdings but I also don’t want to own overvalued stocks in an index. I need to rerun my tools and find some new names to research and invest in. I’m excited to do this with the recent decline in the overall market. Performance Update My goal is to beat the stock market over time. Why stocks? The stock markets got obliterated during the month of December. I faired decently mainly due to my current limited exposure to stocks (that said the stocks I owned did do very poorly during the month). I ended 2018 full year UP while the stock markets of the US and world were both negative! I am proud to have been able to beat the market in 2018. It is never easy to beat the market so I’ll take it when I can get it. Since I’ve been tracking all this I my cumulative returns are beating the pants off the stock markets. It is only 14 months though...so time will tell if I can keep up the superior performance! Transactions This Month Bought: Junk Silver Coins Thinking: I didn't do much as far as transactions during the month of December. I did buy some junk silver coins (US quarters and dimes that were manufactured prior to 1965). They are 90% pure silver and are easily recognized and in small enough values to be useful if needed. I bought these because I continue to believe silver is undervalued (or at least something I want to own right now) AND PLUS it is really cool to hold silver coins in your hand. If you have never done it. I highly recommend it. I actually purchased them on Black Friday. When everyone else was buying depreciating items I was getting a goo deal on some precious metal! HA! Things I’m Working On Now -- Further Research On Commodities vs. Stocks - I continue to think stocks are overvalued and commodities are undervalued.
