John Clifton "Jack" Bogle is the founder and retired CEO of The Vanguard Group. He is known for his 1999 book Common Sense on Mutual Funds: New Imperatives for the Intelligent Investor, which became a bestseller and is considered a classic within the investment community. Bogle was born in Montclair, New Jersey. His family was affected by the Great Depression. He attended Blair Academy on a full scholarship, earned his undergraduate degree from Princeton University in 1951, and attended evening and weekend classes at the University of Pennsylvania. Upon graduation he went to work for Walter L. Morgan at Wellington Management Company.[3] After successfully climbing through the ranks, he was named chairman of Wellington but was later fired for an "extremely unwise" merger that he approved, a poor decision that he considers his biggest mistake, stating, "The great thing about that mistake, which was shameful and inexcusable and a reflection of immaturity and confidence beyond what the facts justified, was that I learned a lot."[4] Bogle founded The Vanguard Group in 1974. Under his leadership, the company grew to be the second-largest mutual fund company in the world. Influenced by the works of Eugene Fama, Burton Malkiel, and Paul Samuelson, Bogle founded the Vanguard 500 Index Fund in 1975 as the first index mutual fund available to the general public.[5] He continues to be active in The Vanguard Group. Bogle is a member of the board of trustees at Blair Academy. He is also an advisory board member of the Millstein Center for Corporate Governance and Performance at the Yale School of Management. Bogle received an honorary doctorate from Princeton University in 2005. Bogle also serves on the board of trustees of the National Constitution Center in Philadelphia, a museum dedicated to the U.S. Constitution. He had previously served as chairman of the board from 1999 through 2007. He was named chairman emeritus in January 2007, when former president George H. W. Bush was named chairman. Bogle is famous for his insistence, in numerous media appearances and in writing, on the superiority of index funds over traditional actively managed mutual funds. He contends that it is folly to attempt to pick actively managed mutual funds and expect their performance to beat a low-cost index fund over a long period of time, after accounting for the fees that actively managed funds charge. Bogle argues for an approach to investing defined by simplicity and common sense. Meb starts by asking Andy about his background and introduction to investing. Andy gives us his origin story, with highlights including collecting stamps, an early introduction to the stock market, a trip behind the Iron Curtain which led to a brief dalliance with Communism, then his becoming a paper millionaire due to some creative accounting (then those monies disappearing). It’s a fascinating look back. Next, Meb recalls a survey we conducted some quarters ago, soliciting readers’ favorite investing books of all time. Andy’s book from 1978, The Only Investment Guide You’ll Ever Need, turned out to be high on that list. Meb asks Andy to explain the thesis of the original book, and whether there have been any significant changes in subsequent editions. Andy tells us “There are just a few things you really need to know about investing, and they don’t ever change. The problem is it’s hard to get people to really grab onto them.” He goes on to say that investing isn’t like cooking or chess, where the more you read/learn, the better. Instead, with investing, the more you read, the more you can get yourself into trouble. He gives us an example using commodity speculating. Given that so much about investing remains constant, Andy’s revisions in subsequent editions haven’t been too substantial. Meb pushes a bit more, asking if there’s any subject about which Andy has changed his mind since the original publication. Andy tells us he’s become a bigger fan of special opportunity investing. Most people aren’t looking for this type of thing. So, Andy discusses putting 80% of your portfolio into inexpensive index funds, but spreading the remaining 20% over 5-6 really interesting, exciting speculations. Most will go to $0, but maybe you hit with one or two, and those proceeds offset the losses and more. Plus, this satisfies the need to have something more exciting to do with your money. Meb agrees with this idea, and asks about Andy’s speculative process – is it rooted in quant or is there a discretionary component? Andy answers by giving us an example with Support.com. Next, the guys discuss valuations, comparing where we are now to where we were back in the early ‘80s. It seems we’re flip-flopped a bit in terms of interest rates and equity valuations. This segues into private investing, with Andy telling us about how came to own farmland. Turned out to be a great investment, buying at $500 an acre and selling years later at $3K an acre. Meb agrees farmland is a great asset class, but it’s hard to allocate toward. This dovetails into a few other private investments in which Andy has participated, most notably “Honest Tea,” which was purchased by Coca Cola, as well as a small, musical comedy, which went on to play on multiple continents over many years. The guys bounce around a bit here, discussing the need to spread your bets in private market investing… lockups… the benefit of illiquidity… binary thinking… Andy’s firsthand experience with selling way too early… There’s plenty more in this episode, including Andy’s concerns for our existential future, his most memorable trade, and finally, a product he endorses which might help tackle dementia and improve reflexes. A mutual fund is a type of professionally managed investment fund that pools money from many investors to purchase securities.[1] While there is no legal definition of the term mutual fund, it is most commonly applied only to those collective investment vehicles that are regulated and sold to the general public. They are sometimes referred to as "investment companies" or "registered investment companies". Hedge funds are not considered a type of mutual fund, primarily because they are not sold publicly. In the United States, mutual funds must be registered with the Securities and Exchange Commission, are usually overseen by a board of directors or board of trustees and managed by a registered investment adviser. Mutual funds, like other registered investment companies, are also subject to an extensive and detailed regulatory regime set forth in the Investment Company Act of 1940. Mutual funds are not taxed on their income and profits if they comply with certain requirements under the U.S. Internal Revenue Code. Mutual funds have both advantages and disadvantages compared to direct investing in individual securities. They have a long history in the United States. Today they play an important role in household finances, most notably in retirement planning. There are 3 types of U.S. mutual funds: open-end, unit investment trust, and closed-end. The most common type, the open-end fund, must be willing to buy back shares from investors every business day. Exchange-traded funds (ETFs) are open-end funds or unit investment trusts that trade on an exchange. Open-end funds are most common, but exchange-traded funds have been gaining in popularity. Mutual funds are generally classified by their principal investments. The four main categories of funds are money market funds, bond or fixed income funds, stock or equity funds and hybrid funds. Funds may also be categorized as index or actively managed. Investors in a mutual fund pay the fund’s expenses, which reduce the fund's returns and performance. There is controversy about the level of these expenses. A single mutual fund may give investors a choice of different combinations of expenses (which may include sales commissions or loads) by offering several different types of share classes. In the US, a mutual fund is registered with the Securities and Exchange Commission (SEC). Open-end and closed-end funds are overseen by a board of directors (if organized as a corporation) or board of trustees (if organized as a trust). The board is charged with ensuring that the fund is managed in the best interests of the fund's investors and with hiring the fund manager and other service providers to the fund. The fund manager, also known as the fund sponsor or fund management company, trades (buys and sells) the fund's investments in accordance with the fund's investment objective. A fund manager must be a registered investment advisor. Funds that are managed by the same fund manager and that have the same brand name are known as a fund family or fund complex. Mutual funds are not taxed on their income and profits as long as they comply with requirements established in the U.S. Internal Revenue Code. Specifically, they must diversify their investments, limit ownership of voting securities, distribute a high percentage of their income and capital gains (net of capital losses) to their investors annually, and earn most of the income by investing in securities and currencies.[2] Mutual funds pass taxable income on to their investors by paying out dividends and capital gains at least annually. The characterization of that income is unchanged as it passes through to the shareholders. For example, mutual fund distributions of dividend income are reported as dividend income by the investor. Investing is putting your money someplace with the hope that more money will come back to you later. Okay? So it's making money over time. Many ways to do it, but today we're going to look more specifically at the stock market. Now, before we begin to look at the stock market, we need to know all the different words that you will find in the stock market discussion. Of course, we have to look at "stocks". So: "stocks" and "shares". Now, many people get confused: what is a stock? What is a share? Realistically, these are basically the same thing, but subtle differences between the two. So, when a company decides that it wants to make money, so it can expand its business, it wants to raise capital. "Capital", it's a big word, there's lots of meanings to it. We're going to look at that a different time. But for our case, "capital" means money. They want to make money, they want to raise capital so they can grow their business. So what they do is they sell stock. Stock is a partial ownership of the company. So when you buy stock, you get a piece of paper, you get a certificate that says that you own part of this company. And because you own part of the company, you have certain rights. You can make... You can vote for changes, you can vote for things that the company should do. Now, what is a share? A share is an equal piece of the stock. So, for example, a company sells $100 worth of stock. That's the full amount of the ownership that the company makes available to the public. Now, this stock, this total amount, they divide into 100 shares. Okay? So you buy as many shares as you want of this stock. So because you have 100 shares, the full stock is $100. Each share is, of course, $1. You buy 10 shares, that mean... That means you're buying 10% of the available stock. You're buying $10 worth of shares. Now, you own stock, you own shares in the company. In that case, it's the same thing. Now, when you talk about stocks, you can say: "I own stocks." So let's go to this word quickly: "portfolio". Your portfolio is the collection of your investments. You may have stocks, you may have mutual funds, you may have bonds, you may have commodities, you may have real estate. You may have all kinds of different investments. If part of your portfolio is stocks, you say: "I have some stocks." It means I can have five company's stocks. But when you say: "I have shares", then you have shares of a company. Okay? I have stocks in 10 different companies. I have shares... I have 10% or I have 100 shares in this company, I have 50 shares in that company, I have 2,000 shares in that company. But all together, you have stock. Okay? So it's a total amount of the companies that you own. Now, if you want to buy stocks or trade stocks, if you want to buy and sell your shares, you can contact a "stockbroker". Okay? A broker is somebody who deals with trades; buys, sells stocks on the stock market. These days, you can just go online and find a "brokerage" which is a website or a company that lets you buy and sell your own stocks and shares. Okay. Next: we have "IPO", this is "Initial Public Offering". Sorry I'm a little bit off line, here. When a company decides: "Okay, we need to make more money. We need to raise capital. We need to sell some stock of our company." So the first time that they sell this stock, there's a big event, you know, like it's a big promotion, they have to market it, they have to tell the public: "Look, we're going to sell stock. Get ready." This is the initial public offering. The first time that they sell stock. We actually don't say: "Sell". They don't sell stock; they issue stock. And then the stock brokerage or the stockbrokers, they buy and sell the stock. Next: "ROI". This is a very important thing to consider. "Return On Investment". Before you buy anything, before you invest your money in anything, you always have to consider your ROI. How much money do you hope to get back? How much money do you think you will get back? Because at the end of the day, a stock market is a gamble. There's high-risk and there's low-risk companies. Your return on investment, obviously, you're hoping to make money. You hope to get a positive yield.
